These terms and conditions ("Terms") govern your use of the Topline corporate website at topline.ie (the "Site") and your relationship with Amalgamated Hardware plc, trading as Topline ("Topline", "the Company", "we", "us", "our"). Please read them carefully. By using the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site. Queries: termsandconditions@topline.ie.

Amalgamated Hardware plc, trading as Topline, is a private company limited by shares, registered in Ireland No. 39851, with registered offices at Naas Industrial Estate, Naas, Co. Kildare.

1. Purpose of this Site

1.1 This Site is provided for general information purposes only. It describes Topline as a buying group, its member companies, news, resources and career opportunities at member businesses.

1.2 This Site does not sell products or services, and nothing on it constitutes an offer capable of acceptance, a quotation, or a binding contract of any kind. No commercial or trading relationship is formed by using this Site.

1.3 All commercial and trading relationships, including between Topline and its member companies, between member companies and their customers, and between member companies and their suppliers are governed exclusively by separately negotiated and signed agreements. Nothing on this Site varies, supplements, or forms part of any such agreement.

1.4 Nothing on this Site should be relied upon as commercial, technical, professional, or legal advice. See Section 8 (Content and Guides) for further detail.

2. Use of the Site

2.1 The Site is provided to you for your personal or business informational use, subject to these Terms.

2.2 Use of the Site and its content is entirely at your own risk.

3. Amendments

3.1 We may update these Terms at any time for legal, regulatory, or operational reasons. Changes take effect immediately upon posting. Continued use of the Site after a change takes effect constitutes your acceptance of the revised Terms. The date of the last revision appears at Section 15.

4. Intellectual Property

4.1 When you visit the Site, our web server automatically records your IP address. This is used for site administration and aggregated, anonymised statistics only, and is not linked to your personal identity by us for this purpose. 4.2 All designs, content, information, images, graphics, software, text, trade names, trademarks, logos, service marks, project guides, news articles and other materials on the Site (the "Content") are the property of, or used with permission by, Topline, and are protected by copyright, trademark, database and other intellectual property rights. You may view and print Content for your own personal or internal business, non-commercial use only, provided all copyright and proprietary notices remain intact. You may not modify, reproduce, republish, distribute, or use any Content for commercial purposes without our prior written permission.

5. Acceptable Use

5.1 You may not use the Site to:

• (a) transmit or disseminate any unlawful, harassing, defamatory, abusive, threatening, harmful, or objectionable material;
• (b) transmit material that encourages conduct constituting a criminal offence or breaches any applicable law, regulation, or code of practice;
• (c) interfere with any other person's use or enjoyment of the Site;
• (d) reproduce or store copies of copyright-protected material without permission; or
• (e) attempt to gain unauthorised access to any part of the Site or its underlying systems.

5.2 You agree to comply with all applicable laws in using the Site and are responsible for any acts or omissions arising from your use of it.

5.3 You agree to indemnify and hold harmless Topline, its officers, directors, employees and agents against all losses, liabilities, claims, costs and expenses (including reasonable legal costs) arising directly or indirectly from your use of the Site or your breach of these Terms.

6. Contact and Newsletter Forms

6.1 The Site includes a contact form and a newsletter sign-up. By submitting either, you provide your information for the stated purpose only (responding to your enquiry, or sending newsletter communications you've opted into). Submission does not create any obligation on Topline to respond within any particular timeframe.

6.2 You must not misuse these forms — including submitting false information, spam, or automated/bulk submissions.

6.3 How your information submitted via these forms is collected, used, and retained is set out in our Privacy Policy and, where relevant, our Cookie Policy.

7. Careers Section

7.1 The careers section lists job vacancies and opportunities at Topline's independent member companies, as well as periodically in Topline’s Support Centre in Naas, Co Kildare. Unless specifically stated as relating to “Topline Support Centre in Naas, Co Kildare”, Topline is not the employer for these roles and is not a party to the recruitment or employment process. Each vacancy is the responsibility of the individual member company that posted it.

7.2 Topline does not vet, verify, or guarantee the accuracy of vacancy listings other than its own, and does not guarantee that any listed role remains open. Unless otherwise stated, applicants deal directly with, and apply at the discretion of, the relevant individual member company.

7.3 Topline accepts no responsibility or liability for the recruitment process, hiring decisions, working conditions, or employment terms of any individual member company, or for that individual member company’s compliance with employment law.

8. Content, Project Guides, and News

8.1 Project guides, "how to" content, and news articles are provided as a convenience only and are for general information purposes.

8.2 Always consult an appropriately qualified, registered, and experienced professional before undertaking any project or work referenced in this Content, and always follow the relevant manufacturer's instructions and applicable building/product regulations. Topline accepts no responsibility for outcomes arising from reliance on this Content.

8.3 Content, including news and guide material, may become outdated. We make reasonable efforts to keep it current but do not warrant its accuracy, completeness, or timeliness. If you notice an inaccuracy, please report it to info@topline.ie and we will attempt to correct it within a reasonable time.

9. Availability of the Site

9.1 We aim to keep the Site available and fault-free but do not guarantee this. Report faults to info@topline.ie.

9.2 Access may occasionally be restricted for maintenance, repairs, or updates.

9.3 We may modify, suspend, or discontinue the Site or any part of it, at any time, without liability, for technical, operational, or commercial reasons.

10. Liability

10.1 The Site includes proprietary content and content from other sources, and links to other websites. While we try to ensure Content is accurate, reputable, and current, we make no warranty or guarantee as to its accuracy, timeliness, or completeness.

10.2 Use of the Site and its Content is at your own risk. To the fullest extent permitted by law, Topline, its suppliers, and any third parties referenced on the Site shall not be liable for any loss of profits, goodwill, or any indirect, special, or consequential loss arising from your use of, or inability to use, the Site.

10.3 Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability which cannot be excluded or limited under Irish law.

11.Links To and From Other Sites

11.1 As a convenience, the Site may link to member companies' websites and other third-party websites ("Linked Sites") which are beyond our control.

11.2 A link to a Linked Site, including any individual member company’s website, is provided for convenience only and does not constitute an endorsement, approval, or recommendation by Topline of that Linked Site, its content, or the products or services offered on it. Topline is not responsible for, and makes no representations or warranties regarding, the content, accuracy, or practices of any Linked Site. You access Linked Sites at your own risk and any transaction you enter into with a individual member company or third party is solely between you and that party.

11.3 You may not link to the Site from other websites without our prior written consent, which we may refuse or withdraw at any time without giving reasons.

12. Applicable Law

These Terms are governed by the laws of Ireland. If a dispute arises, we will try to resolve it quickly and informally in the first instance. Any court proceedings must be brought in Ireland.

13. International Use

We make no representation that the Site or its Content is appropriate or available for use outside Ireland. If you access the Site from another jurisdiction, you do so on your own initiative and are responsible for compliance with local laws.

14. Miscellaneous

14.1 You may not transfer any of your rights under these Terms to another person. We may transfer our rights under these Terms to another business where we reasonably believe your rights will not be materially affected.

14.2 If we do not enforce a breach of these Terms, we retain the right to do so for that or any future breach.

14.3 We are not responsible for any breach of these Terms caused by circumstances beyond our reasonable control.

14.4 If any provision of these Terms is found unenforceable, the remaining provisions continue in full effect.

14.5 Our [Privacy Policy] and [Cookie Policy] apply to your use of the Site and are incorporated into these Terms by reference.
